Terms and Conditions of Service

Please read these Terms and Conditions of Service ("Terms", "Agreement") carefully before accessing or using the Karzone platform, application, or any related services (collectively, the "Service") operated by Karzone ("Karzone", "we", "us", or "our").

By accessing or using the Service, registering an account, or clicking "I agree" or any equivalent confirmation, you ("User", "you", or "your") acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must not access or use the Service.

These Terms constitute a legally binding agreement between you and Karzone. Karzone reserves the right to modify these Terms at any time. Continued use of the Service following notification of any changes constitutes acceptance of the revised Terms.

1. Description of the Service

Karzone provides a software platform that aggregates, processes, and presents data from third-party sources including but not limited to Customer Relationship Management systems ("CRM"), call recording and transcription tools, calendar systems, and communication platforms (collectively, "Third-Party Data Sources").

The Service uses proprietary algorithms and artificial intelligence to:

Connect to and retrieve data from Third-Party Data Sources authorised by the User

Structure, organise, and categorise retrieved data according to defined parameters

Apply algorithmic scoring and weighting to deals, pipeline data, and sales activity

Generate automated summaries, briefing documents, and informational outputs based on the processed data

Deliver outputs to users via communication channels including but not limited to Slack, email, and the Karzone web interface

Calculate and display indicative metrics including but not limited to pipeline coverage ratios, forecast accuracy indicators, and deal health assessments

The Service is a tool designed to assist sales professionals and their managers in organising and reviewing data that already exists within their own systems. Karzone does not create, generate, or fabricate sales data. All data displayed within the Service originates from the User's own Third-Party Data Sources.

2. Nature of Outputs — Important Limitations

2.1 Informational purposes only

All outputs, reports, summaries, scores, assessments, forecasts, probability indicators, deal health ratings, pipeline accuracy calculations, and any other information generated by the Service (collectively, "Outputs") are provided for informational and organisational purposes only.

Outputs are NOT:

Financial advice, investment advice, or any form of regulated financial guidance

Legal advice or any form of legal guidance

A guarantee, warranty, or representation of any commercial outcome

A prediction or promise of any specific revenue, sales result, or business performance

A professional assessment of any individual's competence, suitability, or performance for any employment purpose

2.2 No guarantee of accuracy

The accuracy of all Outputs is entirely dependent upon the completeness, accuracy, and timeliness of data entered into and maintained within the User's Third-Party Data Sources. Karzone does not verify, validate, or audit data received from Third-Party Data Sources. Karzone expressly disclaims any responsibility for Outputs generated on the basis of inaccurate, incomplete, outdated, or erroneous source data.

Algorithmic outputs including deal scores, forecast accuracy indicators, pipeline assessments, and probability calculations are generated by mathematical models and are inherently indicative estimates. They do not and cannot account for all factors relevant to commercial outcomes. No Output should be treated as a definitive or authoritative assessment of any deal, person, or business situation.

2.3 No responsibility for commercial outcomes

Karzone accepts no responsibility whatsoever for any commercial decision made by any User or any third party in reliance upon any Output generated by the Service. The User assumes full and sole responsibility for all decisions made using information provided through the Service.

Karzone is not responsible for and expressly disclaims all liability in connection with:

Any loss of revenue, profit, or business opportunity

Any inaccuracy in sales forecasts or pipeline projections

Any employment or personnel decision made using Outputs

Any commercial decision made in reliance on any Output

Any failure to close any deal or achieve any sales target

Any downstream consequence of acting or failing to act on any Output

2.4 No assessment of individuals

Karzone does not assess, judge, rank, evaluate, or make determinations about the competence, suitability, intelligence, character, or performance quality of any individual person. Outputs displaying metrics relating to individual users represent a presentation of activity data drawn from Third-Party Data Sources and do not constitute an assessment or evaluation of any individual.

Karzone strongly advises Users not to use any Output as the sole or primary basis for any employment-related decision including but not limited to hiring, termination, promotion, demotion, performance review, or compensation decisions. Such decisions should be made through appropriate human judgment, professional processes, and in compliance with all applicable employment laws.

3. User Accounts and Access

3.1 Account registration

To access the Service, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify Karzone immediately of any unauthorised use of your account.

You represent and warrant that you have the authority to enter into these Terms on behalf of yourself and, where applicable, on behalf of the organisation you represent.

3.2 Organisational accounts

Where the Service is used by an organisation, the individual who creates the organisational account (the "Administrator") is responsible for managing user access, assigning roles, and ensuring that all users within the organisation comply with these Terms. The organisation is jointly and severally liable for all activity conducted by its users within the Service.

3.3 Acceptable use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

Use the Service in any way that violates any applicable law or regulation

Use the Service to process data relating to individuals without appropriate legal basis under applicable data protection laws

Attempt to gain unauthorised access to any part of the Service or its underlying systems

Interfere with or disrupt the integrity or performance of the Service

Reverse engineer, decompile, or disassemble any part of the Service

Use the Service to transmit unsolicited commercial communications

Use the Service for any purpose that could harm Karzone or any third party

4. Third-Party Integrations and Data Sources

4.1 User authorisation

The Service connects to Third-Party Data Sources only upon explicit authorisation by the User. By authorising any integration, you confirm that you have the legal right and all necessary permissions to allow Karzone to access and process data from that source.

4.2 Third-party terms

Your use of any Third-Party Data Source remains subject to the terms and conditions of that third party. Karzone is not a party to any agreement between you and any third-party provider and is not responsible for the availability, accuracy, or compliance of any third-party service.

4.3 Third-party service interruptions

Karzone is not responsible for any interruption, degradation, or cessation of any Third-Party Data Source and accepts no liability for any impact on the Service arising from changes to or failure of any third-party integration.

5. Data Protection and Privacy

5.1 Data controller and processor

Karzone acts as a data processor in respect of personal data processed on behalf of the User through the Service. The User is the data controller and is responsible for ensuring that the processing of personal data through the Service is conducted in compliance with all applicable data protection laws including but not limited to the General Data Protection Regulation ("GDPR"), the UK GDPR, and any other applicable national data protection legislation.

5.2 GDPR rights

Where Karzone processes personal data of individuals located in the European Economic Area or the United Kingdom, those individuals have the following rights under applicable data protection law:

Right of access: the right to obtain confirmation of whether their personal data is being processed and to receive a copy of that data

Right to rectification: the right to have inaccurate personal data corrected without undue delay

Right to erasure: the right to have personal data deleted in certain circumstances (the "right to be forgotten")

Right to restriction of processing: the right to request that processing of their personal data be restricted in certain circumstances

Right to data portability: the right to receive their personal data in a structured, commonly used, and machine-readable format

Right to object: the right to object to processing of their personal data on grounds relating to their particular situation

Rights related to automated decision-making: the right not to be subject to a decision based solely on automated processing that produces legal or similarly significant effects

To exercise any of these rights in relation to data processed by Karzone, individuals should contact Karzone at the contact details provided in Section 14 of these Terms. Karzone will respond to all legitimate requests within the timeframes required by applicable law.

5.3 Data security

Karzone implements appropriate technical and organisational measures to protect personal data against accidental or unlawful destruction, loss, alteration, unauthorised disclosure, or access. However, no method of transmission or storage is completely secure and Karzone cannot guarantee absolute security of data.

5.4 Data retention

Karzone retains data for as long as is necessary to provide the Service and to comply with applicable legal obligations. Users may request deletion of their account and associated data at any time. Details of our data retention practices are set out in our Privacy Policy which forms part of these Terms.

5.5 Data transfers

Where personal data is transferred outside of the European Economic Area or the United Kingdom, Karzone will ensure that such transfers are made in compliance with applicable data protection law including through the use of appropriate safeguards such as Standard Contractual Clauses approved by the European Commission.

5.6 Data processing agreement

Where required by applicable data protection law, Karzone will enter into a Data Processing Agreement with the User upon request. Please contact Karzone using the details in Section 14 to request a Data Processing Agreement.

6. Intellectual Property

All rights, title, and interest in and to the Service, including all intellectual property rights, are and shall remain the exclusive property of Karzone. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited right to use it as set out in these Terms.

You retain ownership of all data you input into or that is retrieved from your Third-Party Data Sources through the Service. By using the Service, you grant Karzone a limited, non-exclusive, royalty-free licence to process such data solely for the purpose of providing the Service to you.

Karzone may use anonymised and aggregated data derived from usage of the Service for the purpose of improving the Service, developing algorithms, and generating benchmarks and insights. Such use will not identify you or any individual user.

7. Subscription, Fees, and Payment

Access to certain features of the Service is subject to payment of applicable subscription fees. Fees are set out on the Karzone website and may be updated from time to time with reasonable notice. All fees are exclusive of applicable taxes.

Subscription fees are payable in advance. Failure to pay applicable fees may result in suspension or termination of access to the Service. Fees paid are non-refundable except as expressly required by applicable law or as set out in Karzone's refund policy.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF DEALING.

KARZONE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. KARZONE DOES NOT WARRANT THE ACCURACY, COMPLETENESS, RELIABILITY, OR USEFULNESS OF ANY OUTPUT GENERATED BY THE SERVICE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KARZONE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES WHATSOEVER, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF BUSINESS, OR LOSS OF GOODWILL, EVEN IF KARZONE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL KARZONE'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE TOTAL AMOUNT PAID BY YOU TO KARZONE IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED EUROS (€100), WHICHEVER IS GREATER.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY. IN SUCH JURISDICTIONS, KARZONE'S LIABILITY SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

10. Indemnification

You agree to indemnify, defend, and hold harmless Karzone and its officers, directors, employees, agents, licensors, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

Your use of or inability to use the Service

Your violation of these Terms

Your violation of any applicable law or regulation

Your violation of any third-party right including any intellectual property right or data protection right

Any content or data you submit to or process through the Service

11. Termination

Karzone reserves the right to suspend or terminate your access to the Service at any time, with or without notice, for any violation of these Terms or for any other reason at Karzone's sole discretion.

You may terminate your account at any time by contacting Karzone. Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 8, 9, 10, and 12.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Sweden, without regard to its conflict of law provisions. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Sweden, subject to any mandatory consumer protection provisions that may apply in your jurisdiction.

Nothing in this Section prevents either party from seeking urgent or interim relief from any court of competent jurisdiction.

13. General Provisions

These Terms, together with the Privacy Policy and any other policies incorporated by reference, constitute the entire agreement between you and Karzone with respect to the Service and supersede all prior agreements and understandings.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Karzone's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

You may not assign or transfer these Terms or any rights or obligations hereunder without Karzone's prior written consent. Karzone may assign these Terms without restriction.
